Generational Equity, an advisor to privately held and family-owned businesses for mergers, acquisitions, and strategic growth initiatives, announced the stock sale of its client Creasy & Whiteed, Inc., a fabricator and installer of metal roofing and architectural sheet metal products, based in Hampton, Va., to private investors in western Va. The value of the transaction was not disclosed.

With the acquisition, Creasy & Whiteed’s new owners intend to expand the company’s geographic reach and build upon its solid reputation and long term customer base.

“We felt that Creasy & Whiteed and the buyers’ interests were a good match,” said Jim Russell, Generational Equity managing director in the transaction. “The seller of the 75 year old business felt comfortable that the buyers’ had the motivation and understanding of the industry to be able to succeed and the company and its current employees would be provided for.”

Creasy & Whiteed entered the market in May 2007, following participation in a Generational Equity seminar and the engagement of Generational Equity’s services including a business valuation and exit strategy planning.  Generational Equity helped the company identify a buyer who understood the unique nature of the client’s business, allowing the business owner to transition to retirement.

Generational Equity successfully participated in the negotiation and structure a deal that included 90 percent cash at closing purchase price, favorable capital gains tax treatment with the stock sale and a long term property lease.  “These factors made the deal very attractive to the seller,” Russell said. “We also worked closely with a regional community bank to assist the buyers in obtaining a competitive loan in a very difficult lending environment.”

The deal closed nine months after Creasy & Whiteed entered the market.

Carpathia Hosting retained Generational Equity to provide business valuation and exit planning services when its owners decided to pursue other business ventures. “Generational Equity helped us market the company and maximize on the potential wealth in our rapidly growing business,” said Rick Smith, CEO of Carpathia Hosting. “Spire has excellent resources to continue expanding Carpathia and capitalize on our success.”

Spire Capital Partners was interested in acquiring a company in this sector and was working with an established management team to acquire the company. “We are excited to have Carpathia as part of the Spire portfolio,” said Sean C. Generational Equity received interest from numerous parties, but recommended focusing on Spire. “We felt that Spire was well suited to acquire Carpathia because of the strong management team ready to take over,” said Steve Heimstead, Generational Equity’s lead managing director for the transaction. “Our team worked very hard to create a deal that would benefit everyone involved and ultimately we were very successful in doing this.”

Generational Equity, an advisor to privately held and family-owned businesses for mergers, acquisitions, and strategic growth initiatives, announced the sale of its client Accu-Tech Plastics Inc., a Batesville, Miss.-based manufacturer and provider or plastics and plastic injection molding, to a private investor in West Point, Miss. The value of the transaction was not disclosed.

For more than 20 years, Accu-Tech has provided quality plastic-injected molded parts to clients and assisted in implementing production ideas throughout the manufacturing process. The company retained Generational Equity for valuation and advising services on the sale.

“After 20 years in the area, it was very important for Accu-Tech to find a buyer who was interested in growing the business in Batesville,” said Don Sawyer, Generational Equity managing director on the deal. “Our team worked diligently to find the best buyer for the company.”

After marketing Accu-Tech to a large pool of potential buyers, Generational Equity obtained the offer from a private investor looking to use his experience in the plastics industry to expand a company.  “Generational Equity helped us identify a buyer with a strong background in the plastics industry who could continue the company in Mississippi and benefit from the business we already established,” said Bill Byer, owner of Accu-Tech Plastics. “The sale also allows us to begin a new chapter in our lives.”

The buyer used personal funding to finance the deal. “Accu-Tech is a good place for me to use my experience in the industry to build a plastics company of my own,” said the private investor.  “I view Accu-Tech as a solid investment with a lot of potential to build on my background and knowledge.”

Generational Equity, an advisor to privately held and family-owned businesses for mergers, acquisitions, and strategic growth initiatives, announced the acquisition of a majority interest in the industrial automation experts Global Systems Inc. of Decatur, Ala., by Mitchell Industries LLC, for an undisclosed amount.

Global co-owner Nickie Fox requested Generational Equity’s services to find a capital investor willing to contribute capital and share in the growth of the company. The M&A advisor placed proposals before a number of likely investors and attracted considerable interest. Guy Mitchell and his associates with Mitchell Industries LLC showed strong interest early in the process.

Generational Equity’s Managing Director Sam Sumner of Birmingham, Ala., helped the parties identify and comply with tax requirements and other special considerations for a deal of this type. Mitchell’s management team saw Global’s potential for growth was a good fit with its long-term acquisition plans.

Generational Equity’s Managing Director Sumner said Global Systems was an attractive investment for a wide range of potential buyers, “But it was clear, based on our experience, that our client would bring strong growth in return for a capital investor, particularly one looking to diversify its portfolio.” Sumner said the deal unfolded as a progressive acquisition over a period of years for an undisclosed price — a method that suited the buyer and appealed to the best interests of the client.
